C19 Terms of Sale

1. General

Any company or individual ordering any product or service from C19 (“Customer”) must comply with the following terms and conditions. C19 reserves the right to revise, modify, change or supplement all or part of these Terms of Sale at any time and without prior notice.

2. Pricing

C19 reserves the right to change prices at any time without prior notice.

As statedon the C19 Website, prices for products and services are current as of the date the product is shipped, or the service is provided. All prices exclude sales tax (if applicable). C19 reserves the right to change prices at any time without prior notice.

C19 reserves the right to refuse an order.

3. Shipping/Delivery

Delivery will be made to the customer's business address listed on sales order. Delivery times and dates are approximate. Sorry, we are not responsible for delays due to the shipping carrier or c ustoms.

Customer must inspect all product and within 5 days of delivery. If you do not let us know within 5 days of delivery, we will determine that you have fully accepted the product as-is. We are not liable for damage caused by the carrier or the customer. The risk of loss or damage to the product passes to the customer at the time of delivery. Title to the Product does not transfer to you until all amounts received by C19.

4. Payment

C19 accepts credit card payment, PAYPAL, business checks, ACH/WIRE, TT and CODs. Some customers may qualify for credit terms or NET 30. We do not offer terms of more than NET 30. (No NET-60 or NET-90). All payments must be made without any deductions . Interest may be charged on overdue invoices.

Your order cannot be cancelled. However, C19 may, at its discretion, authorize cancellation of the order if the customer reimburses C19 for any costs incurred. If only part of the order is canceled, C19 may compare the order quantity with the quantity shipped to the customer prior to cancellation and charge the customer the difference at the applicable per unit price.

5. Warranty

C19’s warranty period is 12 months. We may, at our option, replace or repair the roduct or refund the purchase price if the Product is defective.

You must contact C19 to obtain an RMA prior to returning any product. Returned products must be accompanied by a test report stating the invoice number and type of defect. If you do not return the product within 7 days of RMA approval, C19 may refuse the return .

If we approve your RMA, you will be credited to the invoice amount less 25 % of the invoice amount or HK $250, whichever is higher, as a return processing/restocking fee.

6. NO CRITICAL USE

Products sold by C19 are not authorized or recommended for use in life support devices, surgical implants, nuclear or aircraft applications, or where failure of a single component could result in significant damage to persons or property. C19 shall not be liable for any loss, damage or injury directly or indirectly caused by its use or application to the fullest extent permitted by law.

7. WAIVER

C19 shall be liable for all damages, losses (whether direct, indirect or consequential), costs, liability, injury, loss of profit or loss, business or economic loss, whether or not caused by the negligence of C19 or its employees, agents or subcontractors.

8. Force Majeure

If C19 is unable or constrained from performing its obligations under the Terms due to an event of force majeure, C19 will be relieved of its obligations during the event and shall not be liable for any failure or delay in performance during that period.

If any provision of these Terms is held to be invalid or invalid in whole or in part, that provision will be excluded from the Terms, but the validity and enforceability of other provisions will not be affected.

9. Jurisdiction

This contract shall be governed by and construed under the laws of Hong Kong, and Customer will be subject to the non - exclusive jurisdiction of the courts of Hong Kong, although C19 may apply the Agreement in any suitable jurisdiction.
